As part of the Canada Lewis team, Samantha focuses her practice in the areas of corporate formation and governance, commercial transactions, real estate, franchise, and employment law. She advises established and startup businesses in general corporate and commercial matters, as well as various compliance matters.

 As part of her general corporate practice, Samantha advises and supports her clients on all general corporate matters, including corporate formation and governance. She drafts and reviews corporate documents including company agreements, resolutions and consents, assignment and assumption agreements, transfers of membership interest, and corporate amendments. With an extensive background working with nonprofit and for-profit organizations, Samantha is able to provide effective and practical legal solutions. She provides counsel and assists clients with managing risks by working with them to create, implement, and maintain policies and procedures for internal and legal compliance, and to properly document and maintain records of various employment related matters.

 Samantha’s commercial and real estate practice includes supporting her clients with a full range of transactional services, including drafting, reviewing, and negotiating sale and purchase agreements, promissory notes, commercial lease agreements for both tenants and landlords, service agreements, waiver and release agreements, and other commercial contracts. In the context of franchise law, Samantha works with franchisees to review and better understand franchise documents before entering into a franchise system, and assists with reviewing and drafting documents related to the sale and/or transfer of franchise businesses.

About Samantha

Samantha’s legal experience prior to joining Canada Lewis, includes a law degree from Texas A&M School of Law, practice in alternative dispute resolution as a member of the Board of Advocates, becoming a qualified mediator through the completion of a mediation clinic, work as a transactional attorney focused on corporate and commercial matters for nonprofit organizations, and experience with injury law related to federal workers’ compensation and pharmaceutical and medical device defects.
