As part of the Canada Lewis team, Nirali focuses her practice in the areas of corporate transactions and franchise law. She advises established and startup businesses in general corporate and commercial matters, as well as corporate structuring and various compliance matters.

As part of her franchise practice, Nirali represents franchisors in every aspect of franchise regulation, disclosure, registration, and compliance enforcement. She works closely with franchisors from starting their franchise system, including drafting any franchise-related documents, filing state registrations, managing risks during operation, and through sale of franchises, and even divestment of their franchise system. She drafts, reviews, and negotiates various documents including franchise agreements and amendments; consulting agreements; vendor and supply agreements; lease agreements; and other commercial contracts. She also works with franchisees as small businesses generally. She assists franchisees with amendments, releases, leases, personal guaranties, transfers, assignment and assumption agreements, and promissory notes.

Nirali’s corporate practice includes advising and supporting her clients on all general corporate matters including corporate structuring; drafting, reviewing, or negotiating supply and distribution agreements; privacy and social media policies; asset purchase and membership interest agreements; company and partnership agreements. Nirali has an extensive background working with corporations and brings her deep understanding of business processes and operations to provide effective and practical legal solutions. She provides counsel to her clients to manage risks associated with their business by working with them to create and maintain internal compliance policies and procedures.

About Nirali

Prior to sitting for Texas bar exam, Nirali was a Financial Analyst for a Fortune 500 company for seven years, where she gained specialized knowledge of the financial and business aspects of a corporation.  After law school, Nirali worked with State Farm Insurance company’s corporate tax department on various federal and state tax matters to automate a federal tax filing system.  During her work with State Farm, Nirali gained in-depth knowledge of the insurance and financial services industry with extensive expertise in business processes and their dependencies.  This allows Nirali to understand her client’s priorities and risk tolerances associated with the general operation of a business. 

Nirali also worked with Sharp Health Care and Highmark, a Blue Cross Blue Shield health insurance companies.  There, she worked on leading healthcare-related engagements and projects.  Nirali has ownership and end-to-end accountability for program delivery on National Healthcare Exchanges, new healthcare Medicare products, data security, and data privacy-related projects.     

Nirali received her J.D. from Case Western Reserve University School of Law. She received her B.A. in Economics and Minor in Business Management from the University of Connecticut. She lives in the DFW metroplex with her husband and two daughters.
